Linde Intermediate Holding AG (Linde Intermediate) has confirmed shareholders will be offered an extra €1.22 to help complete a merger with Praxair, raising a squeeze-out offer to €189.46 per share.
The two industrial gas giants announced the €78bn ($90bn) merger after getting clearance from the US anti-trust approval in October, to create a new market leader.
The squeeze-out increase follows from adjustments based on current information regarding the assessment of the expected purchase prices for certain divestments required with respect to the business combination with US-based Praxair.
A court-appointed auditor had confirmed the improved offer was adequate, Germany-bsaed Linde said in a statement.
The squeeze-out is still subject to a resolution at a Linde AG shareholders’ meeting scheduled on 12th December, as well as certain the registration of the transfer resolution and the merger in the commercial registers at the seats of the Linde Intermediate and Linde AG.
